These Terms of Service ("Agreement") are a legally binding agreement between you ("User," "you," or "your") and Leasium, Inc. ("Leasium," "we," "us," or "our"). By accessing or using Leasium’s platform (the "Platform") via our website ([https://leasiumai.com](https://leasiumai.com)), mobile interfaces, or integrations, you accept these Terms and our Privacy Policy. If you do not agree, please do not use the Platform.

1. OVERVIEW OF THE PLATFORM
Leasium is an AI-powered leasing agent service that enables property managers to automatically engage with renters, qualify leads, and schedule property tours through automated messaging, voice calls, and system integrations.

2. PRIVACY POLICY
Use of the Platform is subject to our Privacy Policy. By using Leasium, you consent to the collection, use, and sharing of your information as described therein.

3. ELIGIBILITY
To use the Platform, you represent that:
* You are at least 18 years old
* You are legally authorized to enter this Agreement
* You are not barred from using the Platform under applicable law

4. ACCOUNT REGISTRATION
You must register an account to access certain features. You are responsible for safeguarding your login credentials and all activities under your account. Impersonation or unauthorized access is strictly prohibited.

5. LICENSE TO USE THE PLATFORM
Leasium grants you a limited, non-exclusive, non-transferable license to access and use the Platform in accordance with these Terms. You may not:
* Modify or create derivative works
* Copy, rent, lease, sublicense, or distribute any part of the Platform
* Circumvent, disable, or interfere with security features
* Use the Platform for any unlawful or harmful activity

6. USER CONTENT & AI RESPONSES
Users may provide input and receive AI-generated output. You retain ownership of your inputs and outputs, subject to our right to use them to improve service (unless you opt out).

You agree not to:
* Input confidential or sensitive data you are not authorized to share
* Rely solely on AI responses for legal, financial, or housing decisions without human oversight

7. FEES AND PAYMENTS
Certain features may require payment. Fees will be disclosed before you incur charges. Payments are processed by third-party services. You agree to their terms when entering payment information.

8. RESTRICTIONS
You agree not to:
* Harass, abuse, threaten, or defraud others
* Upload malicious code or attempt unauthorized access
* Use bots to access or scrape the Platform
* Violate any applicable laws

9. INTELLECTUAL PROPERTY
All trademarks, logos, code, and content remain the property of Leasium or our licensors. You may not use our branding without permission.

10. TERMINATION
We reserve the right to terminate or suspend access to your account or the Platform at our sole discretion. Upon termination, your rights to use the Platform will cease immediately.

11. DISCLAIMERS
The Platform is provided "as is" and "as available." Leasium disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

12. LIMITATION OF LIABILITY
To the fullest extent permitted by law, Leasium is not liable for any indirect, incidental, or consequential damages. Our liability in any event is limited to the total fees you paid to us in the past 3 months.

13. INDEMNIFICATION
You agree to indemnify and hold harmless Leasium and its affiliates from any claim arising from your use of the Platform, your content, or violation of these Terms.

14. ARBITRATION & DISPUTES
All disputes must first be attempted to be resolved informally. If unresolved, you agree to binding arbitration in New York County, NY, waiving the right to class action suits or jury trials.

15. MODIFICATIONS
Leasium may update these Terms. Changes will be posted on our website and take effect immediately. Continued use of the Platform means you accept the updated terms.

16. GOVERNING LAW
This Agreement is governed by the laws of the State of Delaware. Disputes shall be resolved in New York County, NY unless otherwise required by arbitration.
